1. Independent contractor relationship
You are an independent contractor. Nothing in this Agreement creates an employment, franchise, partnership, joint venture, or agency relationship between you and madtide. You set your own hours, methods, and territory, and you are solely responsible for your own taxes, expenses, and business decisions.
2. Enrollment and eligibility
You must be at least 18, legally able to enter contracts, and complete enrollment through your unique partner link. One partner account per natural person. You may not enroll under multiple sponsors or operate undisclosed secondary accounts.
3. Commissions and payouts
Commissions are paid on qualifying bid activity by members you personally introduce, not on bid packs sitting unused. Commission rates, qualification thresholds, and payout schedules are published in the current Compensation Plan, which is part of this Agreement. madtide may update the Compensation Plan with reasonable notice.
Chargebacks, refunds, fraud, and bonused activity may be reversed against your commissions. Minimum payout thresholds and applicable fees apply.
4. Promotional conduct
- Make no income claims, lifestyle claims, or earnings guarantees of any kind.
- Use only marketing materials provided or approved by madtide.
- Always disclose your material connection to madtide (see our FTC Disclosure).
- Do not spam, cold-message, or buy paid traffic without prior written approval.
- Do not bid on the madtide brand or close variants in paid search.
5. Prohibited practices
You may not misrepresent the platform, fabricate testimonials, run unauthorized contests, promote madtide in deceptive media, or sell or transfer your partner account. Violations may result in commission forfeiture and termination.
6. Term and termination
Either party may terminate this Agreement at any time, with or without cause, on written notice. madtide may suspend your account immediately for suspected fraud, chargeback abuse, or breach of these terms. Sections regarding indemnity, confidentiality, and post-termination obligations survive termination.
7. Confidentiality
Partner-facing materials, unpublished compensation details, downline reports, and member data you receive are confidential and may be used only to operate your madtide business.
8. Indemnification
You agree to indemnify madtide against any claim, loss, or expense arising from your promotional activity, claims you make outside approved materials, or your breach of this Agreement.
9. Governing terms
This Agreement is governed by, and must be read alongside, the madtide Terms of Service, Policies & Procedures, Income Disclosure, Anti-Spam Policy, and FTC Disclosure.
